RBI Grants Final Sanction for Branch Integration

RBL Bank confirmed that the Reserve Bank of India has issued an approval letter dated October 16, 2026, sanctioning the amalgamation of Emirates NBD Bank's Indian branches. This regulatory clearance, issued under sub-section 4 of Section 44A of the Banking Regulation Act, 1949, follows a proposal first communicated in November 2025. The transaction effectively incorporates the Dubai-based lender's Indian footprint into RBL Bank's domestic network.

This milestone follows a series of approvals earlier in 2026, including clearance from the Competition Commission of India in January and Government of India approval in May for a potential stake acquisition.

Operational Impact and Growth Strategy

  • Emirates NBD branches will function as RBL Bank branches starting December 01, 2026
  • The move supports the bank target to reach approximately 1,000 branches
  • RBL Bank reported net advances of 1,42,314 crore as of September 30, 2026
  • Total deposits stood at 1,56,272 crore for the quarter ended September 2026
  • Management plans to add 20 to 25 new branches during the third quarter of FY27
  • Integration follows the launch of new co-branded credit cards with Shoppers Stop in August 2026

Strong Quarterly Financial Momentum

The bank enters this integration phase following a strong financial performance in the quarter ended September 30, 2026. RBL Bank reported a net profit of 498.36 crore, representing a 158.94 percent increase compared to the same period last year. Quarterly operating revenue grew by 23.21 percent to reach 4,322.1 crore, while operating margins stood at 32.78 percent.

Despite these robust earnings, the bank currently carries a P/E multiple of 48.73, which is higher than the industry average of 13.63. The amalgamation is expected to further scale the bank's operational capacity as it pursues its target of increasing the pace of branch additions.
